AGREEMENT TO OUR LEGAL TERMS

We are Puppies.com LLC, doing business as Puppies.com ("Company," "we," "us," "our"), a limited liability company registered in Michigan, United States, at 625 Kenmoor Ave SE, Ste 350 PMB 84304, Grand Rapids, MI 49546.

We operate the website https://www.puppies.com (the "Site"), the mobile application Puppies.com (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

This website serves as a classified advertising platform where users can independently post listings for dogs available for sale or adoption. The website functions solely as a venue for users to advertise and connect with potential buyers or adopters. It does not participate in, facilitate, or oversee any transactions between parties.

Puppies.com prohibits the listing, advertising, or sale of puppies by brokers, intermediaries, resellers, or any other parties who did not breed the puppy themselves or who acquired a puppy primarily for the purpose of resale. This prohibition does not apply to good-faith rehoming of a dog by its lawful owner, where the dog was not obtained for resale and the listing is not part of a commercial or brokerage activity. Except for such rehoming situations, only individuals or entities selling puppies they personally bred and lawfully own may offer listings on the platform. Any attempt to use the platform to facilitate third-party sales, resale activity, or brokerage arrangements is strictly prohibited.

All content, including listings, descriptions, photos, and communications, is created and managed entirely by the users who post them. The website does not verify, endorse, or guarantee the accuracy, completeness, or legitimacy of any listings or user communications. Responsibility for all posted content lies solely with the individual users who create it.

Under Section 230 of the Communications Decency Act (47 U.S.C. § 230), the website is not liable for user-generated content. The platform does not act as a broker, seller, agent, or intermediary in any transaction, and any disputes, agreements, or issues that arise are exclusively between the parties involved.

While the website may establish and enforce content guidelines or moderation policies, such actions do not alter its status as a neutral platform. Any content removals or moderation decisions are conducted in accordance with legal requirements and site policies, without assuming responsibility for user-generated material.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Puppies.com LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services. By registering, you represent that you meet this age requirement.

We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Seller Account. A seller account is a user account created for the primary purpose of listing dogs for sale or adoption on the platform, including the posting of advertisements, communication with potential buyers, and other activity related to breeding, selling, or placing puppies. Seller accounts may be subject to additional verification requirements and are permitted to use the Services for authorized commercial purposes, as described in these Terms.

Buyer Account. A buyer account is a user account registered by an individual for the primary purpose of browsing listings, contacting sellers, and purchasing or adopting a puppy for personal use. Buyer accounts are intended solely for personal, non-commercial use, and may not be used to post listings, solicit sales, or otherwise engage in commercial activity.

Affiliate and Partner Services. From time to time, the Services may display recommendations, links, or promotional content for third-party products and services, including but not limited to pet supplies, insurance, veterinary services, and other pet-related goods. Some of these third-party relationships are commercial partnerships through which Puppies.com may earn referral fees, commissions, or other compensation when users click on links or make purchases through those partners (collectively, "Affiliate Partnerships"). Current Affiliate Partners include, without limitation, Chewy.com, Lemonade Insurance, and Nuzzle Pet Insurance. The inclusion of any third-party recommendation or affiliate link does not constitute an endorsement of that third party's products, services, or practices. Puppies.com may receive compensation in connection with your use of affiliate links, and we are disclosing this arrangement in compliance with applicable FTC guidelines. We are not responsible for the content, accuracy, or practices of any third-party affiliate partner, and your transactions with such partners are governed solely by their own terms of service and privacy policies.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world. The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for personal use (if a buyer) or authorized commercial use on the platform (if a seller). Any other use is strictly prohibited unless expressly authorized by us in writing.

No part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. Requests should be directed to support@puppies.com.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your content

By directly sending us any feedback, suggestions, or other information about the Services ("Submissions"), you assign to us all intellectual property rights in such Submission, and we may use it for any lawful purpose without acknowledgment or compensation to you.

The Services may invite you to create, post, or submit content including listings, photos, reviews, comments, and other materials (collectively, "Contributions"). By posting Contributions, you grant us an unrestricted, irrevocable, perpetual, royalty-free, worldwide license to use, copy, reproduce, distribute, publish, display, reformat, translate, and exploit your Contributions for any purpose, including commercial purposes, in any media now known or hereafter developed. We do not claim ownership of your Contributions — you retain full ownership. The license above is granted solely to enable us to operate, display, and improve the Services.

You are solely responsible for your Contributions and represent that they are accurate, lawful, and do not infringe any third-party rights. We may remove or edit any Contributions at any time without notice if we consider them harmful or in breach of these Legal Terms.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

(8) If registering as a seller, you additionally represent and warrant that: (a) all dogs you list were personally bred by you or are being rehomed in genuine good faith by their lawful owner; (b) you are not acting as a broker, intermediary, reseller, or agent for any third party; (c) you hold all licenses required by applicable federal and state law for the breeding or sale of dogs, including any applicable USDA licensing and state-level breeder or pet dealer permits; and (d) the dogs you advertise reside at your personal residence or kennel at the time of listing.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable. You agree to notify us immediately at support@puppies.com of any unauthorized use of your account.

5. PURCHASES AND PAYMENT

We accept the following forms of payment: Mastercard, Visa, American Express, Discover. We may add or remove accepted payment methods at any time.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services and to promptly update account and payment information as needed. Sales tax will be added to the price of purchases as required. We may change prices at any time. All payments shall be in US dollars. We reserve the right to refuse any order placed through the Services.

5A. SMS AND TEXT MESSAGE COMMUNICATIONS

Transactional Messages. By registering an account and providing a mobile phone number, you consent to receive transactional and account-related text messages from Puppies.com, including verification codes, account alerts, listing status updates, and other messages necessary to operate your account.

Marketing Messages. By enabling SMS notifications, you consent to receive text messages from Puppies.com about new messages on the platform. Message frequency varies. Message and data rates may apply. Reply STOP to cancel. Reply HELP for help. Reply START to re-enable.

Opt-Out. You may opt out of marketing text messages at any time by replying STOP to any message we send, or by updating your notification preferences in your account settings.

Message and Data Rates. Standard message and data rates from your mobile carrier may apply.

No Third-Party Sharing. Your mobile number will not be shared with third parties or affiliates for marketing or promotional purposes. Sharing with subcontractors who support our services is permitted to the extent disclosed in our Privacy Policy.

TCPA Compliance. Our SMS practices comply with the Telephone Consumer Protection Act (TCPA) and applicable state laws. By providing your mobile number and opting in, you acknowledge that Puppies.com may use an automatic telephone dialing system or pre-recorded messages to deliver text messages to you.

6. SUBSCRIPTIONS

Billing and Renewal. Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you cancel. The length of your billing cycle is monthly or annual, depending on the plan you select.

Free Trial. We offer a 3-day free trial to new users who register with the Services. The account will not be charged and the subscription will be suspended until upgraded to a paid version at the end of the free trial. If you do not upgrade or cancel before the free trial ends, your account will be suspended and no charge will be made unless you elect to subscribe.

Cancellation. You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. If you have any questions or are unsatisfied with our Services, please email us at support@puppies.com.

Fee Changes. We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law. Price changes will take effect at the start of your next billing cycle following notice.

7. REFUND POLICY

Subscription fees are generally non-refundable. Once a billing period has commenced, no refunds or credits will be issued for partial periods or unused features, except as follows:

(a) Billing Errors. If you are charged in error due to a technical failure or duplicate billing, we will refund the erroneous charge upon verification.

(b) Termination Without Cause. If we terminate your account without cause before the end of a prepaid subscription period, we will refund a prorated portion of any prepaid fees for the unused term.

(c) Free Trial. No charges are made during a free trial period. If your account is suspended at the end of a free trial without upgrading, no refund is applicable as no payment was collected.

All refund requests under the above exceptions must be submitted to support@puppies.com within 30 days of the relevant billing event. Fees paid for listing boosts, promotional placements, or other one-time add-on services are non-refundable once the applicable service period has commenced. Nothing in this section affects any rights you may have under applicable state consumer protection laws.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to engage in any of the following:

Platform Integrity

• Scrape, crawl, or systematically collect data or content from the Services — including through bots, spiders, automated scripts, or AI-assisted tools — without our express written permission.
• Use data mining, web crawlers, screen-scraping tools, or any automated data extraction method on any part of the Services.
• Frame, mirror, or deep-link to the Services without our express written permission.
• Attempt to impersonate another user or person or use the username of another user.
• Sell or otherwise transfer your account.
• Create or attempt to create a new account to circumvent a suspension, restriction, or termination of an existing account.
• Create new accounts to circumvent limitations on free trials, promotional offers, or other time-limited features.

Fraud and Deception

• Deceive, defraud, or mislead us or other users, including through phishing, credential harvesting, false identity, or misrepresentation of your status as a breeder or seller.
• Collect usernames, email addresses, phone numbers, or other contact information from the Services for the purpose of sending unsolicited communications, or create accounts by automated means or under false pretenses.
• Make improper use of our support services or submit false reports of abuse or misconduct.
• Use a buying agent or purchasing agent to make purchases on the Services.

Listings and Seller Conduct

• Use a seller account to list, advertise, or sell puppies that you do not own directly or have not bred yourself, including puppies acquired for the purpose of resale, or by acting as a broker, intermediary, or reseller for any third party.
• Use the Services to operate a competing platform, aggregator, or commercial enterprise, except as expressly permitted for sellers conducting authorized commercial activity within the scope of these Terms.

Security and Technical Integrity

• Circumvent, disable, or otherwise interfere with any security, access control, fraud detection, or content moderation feature of the Services.
• Upload or transmit malware, viruses, Trojan horses, ransomware, or any other malicious or disruptive code, including through listing content, messages, or profile materials.
• Embed tracking pixels, web beacons, hidden cookies, or other passive data collection mechanisms in any content you submit to the Services.
• Copy, adapt, or reverse engineer any software, source code, or proprietary technology underlying the Services, except as expressly permitted by applicable law.
• Except as permitted by applicable law, decipher, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Services.
• Conduct denial-of-service attacks, flood the Services with automated requests, or otherwise interfere with or degrade the performance of the Services or connected infrastructure.

Harmful and Illegal Conduct

• Use information obtained from the Services to harass, stalk, threaten, doxx, or harm any person.
• Publish or distribute content that is false, defamatory, or materially misleading about Puppies.com, its staff, or other users of the Services.
• Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
• Use the Services in a manner inconsistent with any applicable laws or regulations.
• Delete the copyright or other proprietary rights notice from any Content.

Artificial Intelligence and Automation

• Use artificial intelligence, large language models, image generation tools, or similar technologies to generate fabricated, misleading, or deceptive listing content, including synthetic photographs, AI-generated puppy descriptions, or false breeder profiles.
• Use AI or automation tools to create or operate fake seller identities, synthetic accounts, or automated buyer inquiry responses in a manner that misrepresents human involvement.
• Use automated tools to submit listing applications, circumvent identity verification, or interact with the platform's fraud detection or content moderation systems.
• Use or attempt to use prompt injection, adversarial inputs, or similar techniques to manipulate any AI-powered feature of the Services.

General

• Violate the Puppies.com Community Standards.

We reserve the right to use AI and machine learning tools internally for fraud detection, content moderation, spam filtering, and platform improvement. This does not imply that listings, prices, or recommendations are AI-generated unless explicitly disclosed.

9. YOUR CONTENT

When you create or make available any Contributions, you represent and warrant that:

• Your Contributions do not infringe the intellectual property, privacy, or publicity rights of any third party.
• You are the creator and owner of your Contributions, or have all necessary licenses, rights, consents, and permissions to grant the rights described in these Terms.
• You have obtained the written consent of any identifiable individual whose name or likeness appears in your Contributions.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not spam, unsolicited advertising, pyramid schemes, chain letters, or mass mailings.
• Your Contributions are not obscene, lewd, violent, harassing, libelous, slanderous, or otherwise objectionable as determined by us.
• Your Contributions do not violate any applicable law, regulation, or rule, including laws concerning child protection.
• Your Contributions do not contain offensive comments related to race, national origin, gender, sexual orientation, or disability.

By posting Contributions, you automatically grant to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide license to host, use, copy, reproduce, disclose, publish, broadcast, archive, publicly display, reformat, translate, excerpt, and distribute such Contributions for any purpose, including commercial and advertising purposes. You waive all moral rights in your Contributions. You retain full ownership of all Contributions and any associated intellectual property rights.

We have the right, in our sole discretion, to edit, re-categorize, pre-screen, or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

10. GUIDELINES FOR REVIEWS

We may provide areas on the Services for reviews or ratings. When posting a review: (1) you should have firsthand experience with the person/entity being reviewed; (2) your reviews should not contain offensive, abusive, racist, or hateful language; (3) your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability; (4) your reviews should not reference illegal activity; (5) you should not be affiliated with competitors if posting negative reviews; (6) you should not make legal conclusions about conduct; (7) you may not post false or misleading statements; (8) you may not organize review campaigns; and (9) you may not violate the Puppies.com Community Standards.

We may accept, reject, or remove reviews in our sole discretion with no obligation to screen or delete them. Reviews do not represent our opinions. We do not assume liability for any review or resulting claims or losses. By posting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free, assignable, and sublicensable license to reproduce, modify, transmit, display, and distribute all content in the review.

Seller Acknowledgment Regarding Reviews. If you operate a seller account, you acknowledge and agree that: (a) reviews posted by buyers about your listings, puppies, or conduct are user-generated content created and submitted solely by the reviewing individual; (b) Puppies.com is not the author, publisher, or endorser of any such review and bears no responsibility for its content, accuracy, or fairness; (c) to the fullest extent permitted by law, including Section 230 of the Communications Decency Act, Puppies.com has no liability to you arising out of any review posted about you or your business, including claims of defamation, trade libel, tortious interference, or any other theory; and (d) your sole recourse for any review you believe to be false, defamatory, or otherwise unlawful is against the individual who posted it. Nothing in this section limits our right to remove or decline to remove any review in our sole discretion.

11. MOBILE APPLICATION LICENSE

If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices owned or controlled by you, strictly in accordance with these Legal Terms. You shall not: (1) decompile, reverse engineer, or attempt to derive the source code of the App; (2) make any modification or derivative work from the App; (3) violate any applicable laws in connection with your use of the App; (4) remove or obscure any proprietary notice; (5) use the App for revenue-generating purposes for which it is not designed; (6) make the App available over a network for simultaneous multi-device use; (7) use the App to create a competing product; (8) use the App to send automated queries or unsolicited commercial messages; or (9) use our intellectual property in the design or distribution of any third-party applications.

Apple and Android. When using the App obtained from Apple App Store or Google Play: (1) the license is limited to the applicable device OS and the distributor's usage rules; (2) we are responsible for maintenance and support as specified in these Terms; (3) in the event of App failure, you may notify the App Distributor for any applicable refund under their policies; (4) you represent you are not located in a US-embargoed country and are not on any US government restricted-party list; (5) you must comply with applicable third-party terms when using the App; and (6) App Distributors are third-party beneficiaries of this license with the right to enforce it against you.

12. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to third-party websites ("Third-Party Websites") and content belonging to third parties ("Third-Party Content"). We do not investigate, monitor, or check such websites or content for accuracy or completeness. We are not responsible for Third-Party Websites or Third-Party Content, and their inclusion does not imply our endorsement. If you access Third-Party Websites, you do so at your own risk under their own terms and policies.

Some third-party links on the Services are part of Affiliate Partnerships through which Puppies.com may earn referral fees or commissions. See Section 1 (Affiliate and Partner Services) for full disclosure of these commercial relationships. The existence of an affiliate relationship does not influence our listing policies or editorial decisions.

Any purchases through Third-Party Websites are exclusively between you and the applicable third party. We take no responsibility for such transactions.

13. ADVERTISERS

We allow advertisers to display advertisements and other information in certain areas of the Services. We simply provide the space to place such advertisements and have no other relationship with advertisers.

This Site is affiliated with Publisher First, Inc. dba Freestar ("Freestar") for the purposes of placing certain advertising on the Site, and Freestar will collect and use certain data for advertising purposes. To learn more about Freestar's data usage, visit https://freestar.com/privacy-policy/.

14. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) refuse, restrict access to, limit the availability of, or disable any of your Contributions or any portion thereof; (4) remove files and content that are excessive in size or burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

15. ACCOUNT ACTIONS AND APPEALS

Account Suspension or Termination. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including: (a) violation of these Legal Terms or our Community Standards; (b) conduct we believe is harmful to other users, third parties, or the platform; (c) fraudulent, deceptive, or illegal activity; or (d) extended periods of account inactivity.

Appeals Process. If your account is suspended or terminated and you believe the action was taken in error, you may request a review by contacting us at support@puppies.com within 30 days of the account action. Please include your account email, the nature of your request, and any information supporting your appeal. We will review your request in good faith and respond within a reasonable time. We are not obligated to reverse any account action.

Termination by You. You may terminate your account at any time by contacting support@puppies.com or following the account deletion process in your account settings. Termination does not relieve you of obligations incurred prior to termination, including any outstanding fees.

16. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy at https://puppies.com/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States. If you access the Services from outside the United States, you consent to the transfer of your data to the United States and its processing under US law.

17. COPYRIGHT INFRINGEMENTS

We respect the intellectual property rights of others. If you believe that any material on the Services infringes your copyright, please notify our designated DMCA agent at support@puppies.com with: (a) a signature of a person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work; (c) identification of the infringing material and its location on the Services; (d) your contact information; (e) a good faith belief statement; and (f) a statement of accuracy under penalty of perjury.

Counter-Notifications. If you believe your content was removed in error, you may submit a counter-notification to our DMCA agent containing the information required by 17 U.S.C. § 512(g). Submitting a false counter-notification may result in legal liability.

18. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason, including for breach of these Legal Terms. If we terminate or suspend your account, you are prohibited from re-registering under your name, a fake name, or any third-party name. We reserve the right to take appropriate legal action, including civil, criminal, and injunctive relief.

19. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We may also modify or discontinue all or part of the Services without notice. We cannot guarantee the Services will be available at all times. We have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

20. GOVERNING LAW

These Legal Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States. Subject to the arbitration agreement below, you irrevocably consent to the exclusive jurisdiction of the courts located in Michigan for resolution of any dispute arising under these Legal Terms.

21. DISPUTE RESOLUTION

Informal Resolution. Before filing any formal claim, you agree to contact us at support@puppies.com and attempt to resolve the dispute informally. You agree to give us at least 30 days to resolve any dispute before initiating arbitration or other formal proceedings. Both parties agree to negotiate in good faith during this period.

Binding Arbitration. If the parties cannot resolve the dispute informally within 30 days, either party may elect to have the dispute finally and exclusively resolved by binding arbitration administered by the American Arbitration Association ("AAA"). The applicable AAA rules depend on your account type: disputes involving buyer accounts shall be governed by the AAA Consumer Arbitration Rules then in effect; disputes involving seller accounts shall be governed by the AAA Commercial Arbitration Rules then in effect. All AAA rules are available at www.adr.org. The arbitration shall take place in Grand Rapids, Michigan, or, at a buyer's election, via telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

Class Action Waiver. All disputes must be arbitrated or litigated on an individual basis. No dispute may be arbitrated on a class-action basis, and no claim may be brought in a purported representative capacity on behalf of others.

Exceptions. Either party may bring an individual action in small claims court for disputes within that court's jurisdictional limit. Either party may also seek emergency injunctive relief from a court of competent jurisdiction solely to preserve the status quo pending arbitration, without waiving the right to arbitrate the underlying merits.

Survival. This arbitration agreement survives the termination or expiration of these Legal Terms and your relationship with Puppies.com for any reason.

We reserve the right to correct any errors, inaccuracies, or omissions in the Services and to change or update information at any time without prior notice.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF ANY CONTENT ON THE SERVICES OR LINKED SITES AND ASSUME NO LIABILITY FOR ERRORS, PERSONAL INJURY, UNAUTHORIZED ACCESS, INTERRUPTIONS, VIRUSES, OR LOSSES OF ANY KIND ARISING FROM USE OF THE SERVICES.

BUYERS ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL INFORMATION PRIOR TO COMPLETING ANY TRANSACTION.

25. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Puppies.com LLC and its subsidiaries, affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, arising out of: (1) your Contributions; (2) your use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties; (5) violation of a third party's rights, including intellectual property rights; or (6) any harmful act toward another user of the Services. We reserve the right to assume exclusive defense of any matter for which you are required to indemnify us, and you agree to cooperate in that defense.

26. USER DATA

We maintain certain data you transmit to the Services for the purpose of managing the Services' performance. Although we perform regular routine backups, you are solely responsible for all data you transmit or that relates to activity you have undertaken using the Services. We have no liability for any loss or corruption of such data, and you waive any right of action against us arising from such loss or corruption.

27. ELECTRONIC COMMUNICATIONS AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices, policies, and transaction records.

29. MISCELLANEOUS

If any provision is found unlawful, void, or unenforceable, that provision is severable and does not affect remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
